ECOMMERCE MANAGEMENT AGREEMENT FOR ACCOUNT MANAGEMENT SERVICES

This Ecommerce Management Agreement (“Agreement”) is made and entered into on [date] (the “Effective Date”), by and between [Client name] (“Client”), having its principal place of business at [address], and [Service Provider name] (“Service Provider”), having its principal place of business at [address].

WHEREAS, Client is engaged in the business of [describe client’s business]; and

WHEREAS, the Service Provider has expertise in managing e-commerce accounts and providing related services;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

  1. Engagement. Client hereby engages Service Provider to provide e-commerce management and account management services (the “Services”) as described in Exhibit A attached hereto.
  2. Term. This Agreement shall commence on the Effective Date and continue until [date] (the “Term”), unless terminated earlier pursuant to the terms hereof.
  3. Compensation. In consideration of the Services to be rendered by the Service Provider, the Client shall pay Service Provider the fees set forth in Exhibit A attached hereto.
  4. Expenses. All expenses incurred by the Service Provider in connection with the provision of the Services hereunder shall be reimbursed by the Client upon presentation of appropriate receipts or other documentation.
  5. Confidentiality. Service Provider shall hold in strict confidence all information obtained from Client in connection with the Services hereunder and shall not disclose such information to any third party without Client’s prior written consent.
  6. Ownership of Work Product. All work products and materials developed by Service Provider in connection with the Services hereunder shall be the exclusive property of the Client.
  7. Termination. Either party may terminate this Agreement at any time upon thirty (30) days’ written notice to the other party. In the event of such termination, Client shall pay Service Provider for all Services performed up to the date of termination.
  8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [state], without giving effect to any principles of conflicts of law.
  9. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
